Subject of the Contract: The purpose of this contract is to regulate the coordination and management of international cargo transport by PRIME LOGISTICS SAS , in accordance with the terms, conditions and scope defined in the offer or quotation of services accepted by the Client.
Acceptance of the Contract: Acceptance of the service offer implies the express and full acceptance of all the conditions established in this contract.

How does PRIME LOGISTICS SAS operate in relation to its services?

Accepted Answer

Intermediary or Coordinator: PRIME LOGISTICS SAS acts as an intermediary or logistics coordinator on behalf of and for the account of the CLIENT , under a mandate agreement . Consequently, it does not assume the responsibilities of a freight forwarder or a contractual or de facto carrier.

Client Representation: By accepting the quotation or service offer issued by PRIME LOGISTICS SAS , the CLIENT grants broad, express and sufficient authorization for the company to act in its name and on its behalf, as a representative agent , for the execution of the necessary actions related to the contracted logistics operation.

How are the services offered accepted?

Forms of Acceptance
Acceptance of the quote or service offer may be made expressly , through any means of communication, or tacitly , through acts or conduct of the CLIENT that demonstrate the intention to contract and begin the provision of services.
Acceptance is not considered
The mere receipt of documents by PRIME LOGISTICS SAS , such as commercial invoices, packing lists, shipping instructions, purchase orders or other similar documents, does not constitute acceptance of the order or an obligation to provide the service .
Verbal Instructions
In the event that the CLIENT 's instructions are given verbally and PRIME LOGISTICS SAS acts according to its reasonable understanding, the CLIENT accepts and assumes the economic, operational or any other consequences that may arise from said action.
Complete Information
The CLIENT 's instructions, orders or requests must contain all the necessary, truthful and complete information so that PRIME LOGISTICS SAS can execute the services diligently, appropriately and in accordance with applicable regulations.
Cargo Inspection and Verification
The CLIENT acknowledges and accepts that PRIME LOGISTICS SAS , nor its agents, correspondents, or partners abroad, open packages, physically verify quantities, conduct inventories of goods, or repackage products. Any inspection, weighing, measuring, or verification of the cargo will only be carried out upon the CLIENT 's express request, and the CLIENT will assume all costs, risks, and responsibilities arising from such activity.

What are the Client's responsibilities and obligations according to the contract?

Accepted Answer

The CLIENT shall provide PRIME LOGISTICS SAS , in a timely, truthful, accurate, correct, and complete manner, with all the information and documentation necessary for the proper execution of the contracted services. This information includes, but is not limited to:
 • Commercial invoice and packing list.
 • Tax ID of the consignee and the recipient, when they are different.
 • Applicable tariff heading and/or subheading.
 • Number of packages, gross weight and total volume of the cargo.
 • Identification and characteristics of the cargo unit.
 • General description of the merchandise.
 • Express indication as to whether the goods are considered dangerous.
 • Place of receipt and place of delivery of the cargo.
 • Shipping instructions and conditions, including the required means of transport (sea, air, land), service modality (urgent, consolidated, LCL/FCL containerized cargo, among others).
 • Reports, permits and documents necessary for transport and compliance with customs, police, health and other requirements of the competent national and international authorities.
PRIME LOGISTICS SAS is not obligated to verify the accuracy or truthfulness of the information and documentation provided by the CLIENT , acting under the principle of contractual good faith .

Confirmation of Verbal Instructions
All instructions given verbally by the CLIENT must be immediately confirmed in writing. In the absence of clear, complete, or precise instructions, PRIME LOGISTICS SAS will be authorized to select the means, routes, and methods it deems most appropriate for the proper execution of the order.

Security Measures
The CLIENT guarantees the implementation and compliance with all necessary security measures to prevent risks of contamination, alteration or damage to the cargo, and is responsible for any consequences arising from non-compliance with said measures.

Legal Compliance
The CLIENT agrees to comply with all legal, regulatory, and administrative provisions issued by the competent national and international authorities. This includes the complete, truthful, and timely completion and delivery to PRIME LOGISTICS SAS of all required documentation and information, including the Customer Due Diligence form .
